1. Who We Are & How These Terms Work
Welcome! These Terms & Conditions ("Terms") apply to all services provided by WebSolved (ABN 17 819 908 329) to you, our valued client. By working with us, you're agreeing to these Terms. We may update them occasionally to reflect changes in our services or legal requirements – we'll always post updates on our website.
Our services include web design & development, hosting & maintenance, SEO, Google Ads management, AI automation, custom web applications, and email setup. We're proudly based in Australia and love working with clients worldwide.
2. Working Together – Your Responsibilities
To help us deliver the best results for you, we ask that you:
- Provide content, materials, and approvals in a timely manner (we'll work with your schedule as much as possible)
- Ensure you have the rights to all materials you provide (text, images, logos, data)
- Keep your login credentials secure and share them with us when needed for work
- Maintain your own backups of critical files, databases, and emails (we recommend this as best practice)
- Use our services lawfully and in accordance with platform policies
You agree to indemnify us against any claims arising from content or instructions you provide that may infringe on others' rights or breach laws.
3. Payment Terms
3.1 Billing Cycles
- Marketing services (SEO, Google Ads, AI): Billed monthly in advance
- Hosting: Monthly or annual billing (save 10% with annual payment!)
- Projects (websites, apps): Staged payments as outlined in your quote
- Google Ads setup: One-time setup fee for new accounts/campaigns
3.2 Automated Payments
For recurring services, we may request an automated payment method to ensure your services continue without interruption. You authorise recurring charges until you formally cancel (see Section 4).
3.3 Due Dates & Late Payments
We appreciate prompt payment by the due date shown on invoices. If payments are overdue, we may need to temporarily suspend services and apply any late fees permitted by law. We'll always try to work with you first.
3.4 Refunds
Once a billing period begins or work has started, payments are non-refundable (except where required by Australian Consumer Law). This helps us manage our resources and commitments to all clients.
3.5 Price Changes
We may adjust pricing at renewal time with advance notice. You're always free to cancel before new prices take effect.
4. Cancellation, Notice & Termination
4.1 How to Cancel
Simply email us your cancellation request – we'll confirm receipt. We require 14 days written notice before your next billing date to allow for a smooth transition. Your account will remain active and continue to be billed, and you will be liable for these fees unless we receive a cancellation request from you in writing.
4.2 Continued Billing
If you stop using a service or move elsewhere without notifying us in writing, billing will continue. We want to avoid any confusion, so please let us know your plans.
4.3 Minimum Terms
- SEO: 3-month minimum (SEO takes time to show results)
- Hosting: Month-to-month flexibility
- Google Ads: No minimum beyond setup and current month
4.4 Our Right to Terminate
We may need to suspend or terminate services for non-payment, breach of terms, or activities that risk service integrity. If we ever terminate without cause (very rare), we'll credit any unused prepaid period.
4.5 Data & Transition
When you leave, we're happy to help with backups and transition (fees may apply). Please download your data promptly as we may need to remove it after a grace period.
5. Website & App Projects
Scope & Changes: We'll deliver according to our agreed proposal. We're happy to accommodate changes – we'll just quote them first.
Timeline: We'll do our best to meet agreed dates, though this depends on timely content and approvals from your side.
Review & Acceptance: We provide review rounds for your feedback. If we don't hear concerns within 7-10 days, we'll consider the work accepted.
Ownership: Once fully paid, the website and custom code are completely yours!
Licensed Components: Any premium themes, plugins, or software retain their original licenses – you'll need to maintain these for continued use.
Portfolio Credit: We'd love to showcase your project in our portfolio with a small "Built by WebSolved" credit, unless you prefer otherwise.
Post-Launch Support: We'll fix any bugs in our work reported within a reasonable time. Other updates and enhancements are available through our support plans.
6. Hosting & Infrastructure
Uptime: We work hard to achieve 99% monthly uptime, though occasional maintenance or provider issues may occur.
Backups: While our infrastructure includes backup systems, we strongly recommend maintaining your own backups for peace of mind.
Support Response: We aim to respond to hosting tickets within 2 business days, often much faster!
Fair Use: If your site uses excessive resources, we'll work with you to find a solution.
Domains: We're happy to handle domain registration/renewal (billed separately).
Migration: We'll gladly help with migrations at our standard rates.
7. Email Services
cPanel Email: Included free with hosting! Please note this is provided as-is without ongoing support – perfect for basic needs.
Google Workspace/Microsoft 365: We're happy to handle the initial setup and configuration. Ongoing support is available through our support plans or ad-hoc billing.
8. SEO Services
Realistic Expectations: While we use proven strategies and work diligently on your SEO, we cannot guarantee specific rankings or traffic as search engines are beyond anyone's control.
Our Approach: SEO is a long-term investment requiring months of consistent work, access to your systems, and collaboration on content.
Ethical Practices: We only use white-hat techniques that comply with search engine guidelines.
External Factors: Algorithm updates, competitor activities, or site changes may impact results – we'll adapt our strategies accordingly.
Reporting: We'll keep you informed with regular updates and performance insights.
9. Google Ads Management
Setup & Media Spend: A one-time setup fee applies, with media spend paid separately (directly to Google or through us).
Performance: While we optimise campaigns for best results, we cannot guarantee specific leads, CPA, or ROI.
Compliance: All campaigns must comply with platform policies – final approval rests with the ad platforms.
Transparency: You maintain access to your data and campaigns.
10. AI Automation & Integrations
Human Oversight: AI systems are powerful but can produce unexpected results. Please review AI outputs before relying on them.
AI Limitations: We're not liable for decisions or consequences from automated actions or AI content.
Third-Party Services: Changes or outages in external APIs (OpenAI, Google, etc.) are beyond our control – we'll help find alternatives when needed.
11. Support & Maintenance
Support Plans: Our optional plans cover routine updates, security, and priority response (typically within 2 business days).
Ad-Hoc Support: Not on a plan? No problem – we're here to help at our standard rates.
Security: We implement best practices to protect your site, though no system is completely immune. We'll help with any remediation needed.
12. Limitation of Liability
To the extent permitted by law (including Australian Consumer Law):
While we strive for excellence, services are provided "as is" and "as available". We cannot be held liable for indirect or consequential losses including lost profits, data loss, or ranking changes. These are often beyond our control despite our best efforts.
Where liability cannot be excluded, our total liability is limited to fees paid for the relevant service in the preceding 3 months.
Your rights under Australian Consumer Law remain fully protected.
13. Force Majeure
We're not responsible for delays caused by events beyond our control (outages, cyberattacks, natural disasters, etc.). We'll resume service as quickly as possible.
14. Privacy
We take your privacy seriously and handle personal information according to our Privacy Policy (available on our website).
15. Governing Law & Disputes
These Terms are governed by Victorian law. We both prefer to resolve any issues through friendly discussion before considering formal proceedings.
16. General Provisions
If any part of these Terms is unenforceable, the rest remains valid. These Terms, along with any signed proposals, represent our complete agreement. Any changes must be in writing.
